1. The association has initial assets that come from the Founder.
2. In addition to the assets referred to in paragraph 1, the assets of the Association can also be obtained from:
   • IGCN Membership Dues, which will be published through an Executive Decree
   • Non binding donations or assistance:
   • Property grant for a good purpose (waqf);
   • Grants;
   • Testamentary grants;
   • Other acquisitions that do not conflict with Articles of Association and/or applicable regulations.
3. All assets of the Association must be used to achieve the aims and objectives of the Association.

The association has organs consisting of:
1. Supervisory Board;
2. Management Board;
3. General Meeting of Members.

1. Members of the association are companies, social organizations in the form of legal entities, institutions and local governments.
2. Requirements for Association Members are as follows:
   • Not involved with business activities in arms, gambling, alcohol, prostitution, and other prohibited activities that are clearly contrary to the Principles of the United Nations Global Compact and Indonesian laws
   • Pledge support and commitment to implement the 10 Principles of the United Nations Global Compact;
   • Members of the Association consist of at least 20 (twenty) legal entities and business entities;
   • Association members are approved by the Management Board Council, then new members are announced to all members of the association;
   • Other conditions are contained in the Bylaws.

1. Members of the Association have the obligation to take an active part in implementing the Association’s Work Programs
2. Members of the Association have moral obligations to maintain the dignity of the Association.
3. Association members can quit or be dismissed for the following reasons:
   • Having in fact committed a violation against the principles of the United Nations Global Compact.
   • No longer meets the requirements as regulated in this Articles of Association and the Bylaws
   • Own request in writing
   • Bankrupt or not having business activities.
   • Administered under guardianship (onder curate legesteld).

1. The Management of the Association has the obligation of:
   • Carrying out their duties in accordance with Articles of Association and Bylaws.
   • Setting as necessary in the Bylaws matters that have not been regulated in the Articles of Association.
   • Making rules that are considered necessary and useful for the Association and may not conflict with the Articles of Association and Bylaws.
   • Organizing general affairs and carry out Founders’ Meeting Resolutions.-
   • Responsible to the Founder for any work in their obligation.
   • Appointing the Executive Director along with the team, and providing direction and evaluating the performance of the executive team in carrying out daily activities and association programs.
   • No later than 6 (six) months after the end of the calendar year which is also the financial year of the Association, the President of the Association must provide accountability from the previous year to the Founder at the Founder’s Meeting, as well as communicate this to all members.
2. The association management has the right to do all actions in good faith that constitute management as well as ownership with restrictions of:
   • making loans on dependents of the Association or lending Association money to other parties;
   • buying, selling or in other ways acquiring, releasing things over land or immovable property including buildings and land rights
   • binding the Association as guarantor;
   • mortgaging movable property of the Association; and
   • changing or replacing the status of Association property; must obtain prior written approval from the Supervisory Meeting.
3. The President and Secretary General have the right to represent the AssociationAssociation inside and outside court and therefore has the right to conduct actions as referred to in article 12 paragraph 2 above
4. The President and Secretary General sign the official documents of the Association, except in spending and/or receiving money, which is signed by the President and Treasurer.

1. Supervisors must be in good faith and in full responsibility carry out supervisory duties for the benefit of the Association.
2. The Head Supervisor and one member of Supervisors are authorized to act for and on behalf of the Supervisors.
3. The Supervisor is authorized to:
   • enter a building, courtyard, or other places used by the Association
   • check the documents of the Association:
   • check accounting and compare it with cash
   • know all the actions that have been carried out by the Management;
   • give a warning to the management
4. The Founder, based on reports and written evidence from Supervisor, can temporarily suspend 1 (one) person or more of the Management, if the Management acts in opposition to the Articles of Association and/or applicable laws and regulations.
5. The temporary suspension must be notified in writing to the person concerned accompanied with the reason.
6. Within 7 (days from the date of the temporary suspension, Supervisors are required to send a written report to the Supervisory Board.
7. In the event that the entire Management Board is temporarily suspended, then the Supervisory Body is obliged to manage the Association on a temporary basis.
